Professional Experience
Mr. Sofferman is a shareholder in the Corporate & Securities Practice Group. He represents clients in areas primarily relating to business & corporate transactions, licensing, intellectual property, entertainment, internet and multimedia related issues. He previously served as Chief Strategy Officer and General Counsel for a technology manufacturer in South Florida, as well as Counsel for a Fortune 1000 publishing and media company in New York. Perry has negotiated the agreements for several of the most successful properties in publishing history. As a former in-house practitioner, he understands the needs and priorities of corporate clients and brings both a business and legal perspective to problem solving, risk avoidance and strategic planning.

Representative experience includes:

Publishing Law

  • Drafted and negotiated agreements for numerous works included on the New York Times Bestseller Lists including several of the most successful properties in publishing history;
    • Successfully negotiated agreements with complex royalty structures involving multiple authors, illustrators and other rights holders;
    • Provided substantive transactional work and guidance on variety of subsidiary rights including, but not limited to, electronic rights, dramatic rights, translation rights, first and second serial rights
  • Drafted and negotiated licensing agreements with many of the world’s top content providers;
    • Successful licensing transactions include working with film studios, book publishers, production companies, newspapers and other content providers
  • Worked on numerous co-branding, distribution and merchandising agreements;
    • Successful co-branding transactional work includes work with manufacturers, financial institutions, service firms as well as a wide range of media organizations
  • Vetted manuscripts for issues related to libel, defamation and right of publicity;
    • guest lectured at New York University on Defamation, Privacy, Publicity and the First Amendment
  • Worked on variety of agreements at virtually every level of the supply chain related to the introduction, publication and distribution of curriculum materials into the Middle East;
    • Managed transactional work and legal issues with rights holders, translators and governmental agencies.

Technology and Software

  • Worked on agreements in wide variety of distribution channels including, but not limited to, live streaming, download, satellite and OEM;
  • Ttransactional work on software development, licensing and service agreements;
  • Transactional work on enterprise software applications with largest, global software providers; including successful negotiation for multimillion dollar integration of enterprise software encompassing a wide range of critical issues related to service level, liability and customization.

Corporate

  • Was esponsible for all legal matters for Information Technology, Consumer and Interactive Software, Education (including, but not limited to, technology, magazines, curriculum) and Marketing divisions of Scholastic Inc.;
  • Involved in wide range of transactions related to the day to day legal issues and affairs of a Fortune 1000 media company including, but not limited to, distribution, due diligence related to acquisitions, sweepstakes, privacy, purchasing, adoption of educational materials, leasing, telecommunications, confidentiality, consulting, independent contractor, joint-venture, packaging and review of marketing materials;
  • Responsible for all legal matters related to compliance, HR policies, collections and all transactions with vendors and customers including, but not limited to, governmental agencies and several of the world’s largest military contractors as Secretary, Chief Strategy Officer and General Counsel for a technology manufacturing company;
  • Worked with members of U.S. Congress and U.S. Congressional and Senate offices, as well as members of the Department of Commerce, to discuss issues impacting the technology sector such as investment in STEM (Science, Technology, Engineering and Math) and the impact of current export regulations on small businesses.
